AmericaPlast - Clients & Partners - Policy: AmericaPlast, a TradingVest LATAM LLC business unit, provides marketing/selling services to clients (companies) willing to start or increase their sales in the America’s area. Companies must always pay for those services to AmericaPlast, which provides to clients the following working approaches:
1) Paying in advance for the marketing/selling products or services, according to the regular list of AmericaPlast Products and Categories published at the corresponding section of the webistes.
2) Paying for a FULL Partnership Agreement after the sales of the company’s products were reached and collected according to a percentage (revenues) based on all the sales performed through the AmericaPlast platforms in the agreed territories, but only if those sales were not explicitly excluded from the agreement at the moment that agreement was reached through emails exchanged between AmericaPlast and the considered client (company) or through any other documented way. The FULL Partnership Agreement will be valid for a minimum of 2 years period, and could be terminated after the first year period, with a 6 months previous termination notice.The FULL Partnership Agreement obliges Americaplast to provide all the marketing tools, products and services available for the Americaplast GOLD category in order to properly develop the client (company) business at the targeted territories, according to the AmericaPlast marketing criteria, which will be based on AmericaPlast experience, good faith and professionalism. At the same time the client (company) will be obliged to follow all the agreed conditions in relation to targeted clients and territories as long as any other condition or termination agreement was not officially communicated to AmericaPlast by e-mail or any other documented vehicle. In the case of a breach of this original FULL Partnership Agreement by the client (company), the client (company) will be obliged to immediately pay the amount regularly charged to clients paying in advance for all the marketing and sales services for the AmericaPlast GOLD category, independently of the state of the specific sales or business development process. Interest charges related to possible payment delays could apply. At the same time, the following actions will be considered a direct breach of the referred FULL Partnership Agreement by the client(company): a) Direct contact to targeted clients/territories included in the FULL Partnership Agreement without previous specific communication. b) Direct sales to targeted clients/territories included in the FULL Partnership Agreement without previous specific communication. c) Providing misleading or clearly wrong information about previous or current direct commercial contacts or any other action between the client (company) and the targeted clients in the FULL Partnership Agreement. d) Lack of payment of the corresponding percentage according to the FULL Partnership Agreement for more than 60 days. Interest charges for the referred payment delays could apply. e) Lack of reply to AmericaPlast communications without reasonable justification for more than 60 days. - Full Partners, after reaching any kind of working agreement with Americaplast, have the exclusive responsability of being informed and check regular prices for all the Americaplast marketing and sales products and/or services included as a part of their specific agreements. The referred products and services regular prices could vary.
